当社株式譲渡完了について
株式会社マスダック（本社：埼玉県所沢市、代表取締役社長：奥田 信夫）は、2026年6月11日付で、マブチモーター株式会社（以下「マブチモーター社」）による当社株式の取得が完了し、同社の子会社となりましたのでお知らせいたします。
また、これに伴い、同日付で役員体制を変更しましたので、あわせてお知らせいたします。
■本件の背景
マブチモーター社は、小型直流モーターを中心に、モビリティ、マシーナリー、メディカルなど幅広い領域で事業を展開するグローバル企業です。同社は、2030年を最終年とする「経営計画2030」において、モーターを起点とした多様な「動き＝モーション」のソリューション提供を掲げ、事業領域の拡大と付加価値向上に取り組んでいます。当社は1957年の創業以来、食品機械メーカーとして、菓子製造機械をはじめとする食品製造設備の開発・製造・販売に取り組んでまいりました。全自動どら焼き機やシュークリーム製造ラインなど、菓子製造の自動化・省人化に資する設備を提供し、食品業界の発展に貢献してまいりました。また、食品機械事業に加えて食品製造事業も展開し、機械開発と食品製造の双方で培った知見を強みに、顧客の多様なニーズに応えてまいりました。今回の子会社化により、当社はマブチモーターグループの一員として、マブチモーター社が有する事業基盤、生産技術、研究開発力、モーター技術および省人化・自動化に関する知見と、当社が培ってきた食品機械のエンジニアリング力および食品製造のノウハウを組み合わせ、さらなる価値創出を目指してまいります。今後は、国内外での事業展開を一層推進し、食品機械事業および食品製造事業の成長を通じて、日本の食品産業の発展に貢献してまいります。

Completion of Share Transfer
Masdac Co., Ltd. (Head Office: Tokorozawa City, Saitama Prefecture; President: Nobuo Okuda) hereby announces that, as of June 11, 2026, the acquisition of the Company’s shares by Mabuchi Motor Co., Ltd. (“Mabuchi Motor”) has been completed, and that the Company has become a subsidiary of Mabuchi Motor. In connection with this transaction, the Company also announces that its executive management structure was changed as of the same date.
■Background and Future Outlook
Mabuchi Motor is a global company engaged in a wide range of business fields, including mobility, machinery, and medical applications, with a focus on small DC motors. Under its “Management Plan 2030,” which sets 2030 as its final year, Mabuchi Motor is working to expand its business domains and enhance added value by providing a diverse range of solutions for “movement,” or “motion,” originating from motors.Since its founding in 1957, MASDAC has been engaged as a food machinery manufacturer in the development, manufacture, and sale of food production equipment, including confectionery manufacturing machinery. By providing equipment that contributes to the automation and labor-saving of confectionery production, such as fully automatic dorayaki machines and cream puff production lines, MASDAC has contributed to the development of the food industry. In addition to its food machinery business, MASDAC also operates a food manufacturing business and has responded to the diverse needs of customers by leveraging the knowledge and expertise it has cultivated in both machinery development and food manufacturing. Through becoming a subsidiary, MASDAC will, as a member of the Mabuchi Motor Group, seek to create further value by combining Mabuchi Motor’s business foundation, production technologies, research and development capabilities, motor technologies, and expertise in labor-saving and automation with MASDAC’s engineering capabilities in food machinery and know-how in food manufacturing.
